Up Your Pop operates this store and website, including all information, content, features, tools, products, and related services, to provide you, as a customer, with a personalized shopping experience (the “Services”). Up Your Pop uses the Shopify platform, which enables us to provide you with the Services.

Your order is considered accepted only after written confirmation from Up Your Pop. We must receive and process your payment before your order is finalized. Please review your order carefully before submitting it, as Up Your Pop may not be able to accept cancellation requests once the order has been confirmed. In the event of a refusal, modification, or cancellation of your order, we will attempt to contact you using the email address, billing address, and/or phone number provided at the time of ordering.
Your purchases are subject to the return or exchange conditions in accordance with our Refund Policy [[LINK]].
You represent and warrant that your purchases are intended for personal or household use, and not for commercial resale or export.

We cannot be held responsible for delays in delivery or shipping. All delivery times indicated are estimates and are not guaranteed. We disclaim all liability for delays caused by carriers, customs formalities, or any event beyond our control. Once the products are handed over to the carrier, ownership and the risk of loss are transferred to you.

All other names, logos, product and service names, designs, and slogans appearing on the Services are the trademarks of their respective owners.

You may use third-party client tools provided as part of the Services; we do not monitor these tools and have no control over them or ability to contribute to them.
You acknowledge and agree that we provide access to these tools “as is” and “as available,” without any warranty, representation, or condition of any kind, and without our endorsement. We disclaim any liability arising from or related to your use of optional third-party tools.

Up Your Pop is powered by Shopify, which enables us to provide you with the Services. However, any sale or purchase made in our Store is made directly with Up Your Pop. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of the sales between you and Up Your Pop, including any damage, harm, or loss resulting from the products or services purchased. You hereby expressly release Shopify and its affiliates from any and all claims, damages, and liabilities arising from or related to your purchase and transaction with Up Your Pop.

You are strictly prohibited from accessing or using the Services, directly or indirectly : (a) for unlawful or malicious purposes ; (b) in breach of any regulation, rule, international, federal, provincial, state or local law ; (c) in such a way as to infringe the intellectual property rights of Up Your Pop, Shopify or third parties ; (d) to harass, abuse, insult, harm, defame, slander, denigrate, intimidate or harm one of our employees or any other person (e) to transmit false or misleading information (f) to send, knowingly receive, download, use or re-use any content that does not comply with these Terms (g) to send or cause to be sent any advertising or promotional material, including "spam", "chain letters", "junk mail" or any other similar solicitation; (h) to impersonate any person or entity, or attempt to do so (i) to engage in any conduct that is likely to restrict or inhibit the use or enjoyment of the Services by others, or which, in our judgement, could harm Up Your Pop, Shopify, users of the Services or expose them to any liability whatsoever.
In addition, you undertake not to: (a) upload or transmit viruses or any other malicious code that may affect the functioning or operation of the Services ; (b) reproduce, duplicate, copy, extract, sell, resell or exploit any part of the Services ; (c) collect or track the personal information of others ; (d) engage in spamming, phishing, pharming or pretexting practices via the Services ; (e) use robots, spiders, scraping, data gathering or extraction tools, automated devices, AI tools (including agentic AI) or any automated or manual means to access the Services; (f) interfere with, circumvent or defeat any security or authorization features, robot exclusion headers or any other measures we put in place to restrict access to the Services. We reserve the right to suspend, deactivate or terminate your account at any time without notice if we determine that you have violated any provision of these Terms.

14.4 Agents must: (i) in all HTTP/HTTPS requests, indicate that the request originates from an Agent and disclose the name of the Agent by including the following statement in the user agent string : " Agent/[agent name] " ; (ii) not disguise or mask the fact that access, use or interactions originate from an Agent, including by (a) mimicking human behaviour or interaction patterns, or (b) bypassing or supplementing CAPTCHAs or measures designed to distinguish between computer and human use (iv) not circumvent or avoid any measures intended to block, limit, modify or control access to, use of or interaction with the Services by Agents.

We reserve the right to terminate this Agreement or your access to the Services (or any part thereof), at our sole discretion, at any time and without notice. You will remain liable for all amounts due up to and including the date of termination.
The following sections shall survive any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Applicable Law, Privacy Policy and any other provision which by its nature is intended to survive termination.

WE DO NOT WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE EXCLUSION OF IMPLIED OR OTHER WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL [MERCHANT], OUR PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSEES, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, EXEMPLARY, SPECIAL OR CONSEQUENTIAL DAMAGES, LOSSES OR CLAIMS OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST DATA, REPLACEMENT COSTS OR ANY OTHER SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, FAULT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING OUT OF YOUR USE OF THE SERVICES OR ANY PRODUCT OBTAINED THROUGH THE SERVICES, OR FOR ANY OTHER CLAIM RELATING IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING, WITHOUT LIMITATION, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF THE SERVICES OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY THEREOF.
ARTICLE 18 - INDEMNIFICATION
You agree to indemnify, defend and hold harmless Up Your Pop, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers, from and against any loss, damage, liability or claim, including reasonable attorneys' fees, due to any third party arising out of (1) your breach of these Terms of Use or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.
We will give you notice of any claim covered by this warranty, provided that failure to give prompt notice shall not relieve you of your obligations unless you suffer substantial damage as a result. We may defend and settle any claim at your expense, including the selection of legal counsel, but we will not settle any claim involving non-pecuniary obligations on your part without your consent (which you may not unreasonably withhold). You will cooperate in the defence of claims covered by this warranty, including by providing relevant documentation.
ARTICLE 19 - SEVERABILITY
